Visual Content Terms of Use

This agreement outlines the terms and conditions ("Terms") under which you grant Coyuchi, Inc. ("Coyuchi," "we," or "us") certain rights to use visual content ("User Content") that you submit to us. Please read these Terms carefully before submitting any User Content. By submitting User Content, you agree to be bound by these Terms.

What is User Content?

User Content includes any photos, videos, or other content that you submit to Coyuchi through any of the following methods or otherwise:

• Uploading directly to our website or social media platforms
• Tagging us in a post on a social media platform with a specific hashtag
• Submitting your content through a promotion or contest

Grant of Rights:

By submitting User Content, whether at Coyuchi’s request or not, you grant Coyuchi a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sub-licensable, and transferable right to use, display, perform, transmit, copy, modify, delete, adapt, publish, translate, create derivative works from, distribute, and sell such User Content. This includes the right to use the User Content for commercial purposes on our websites, social media platforms, marketing materials, and other promotional materials. Coyuchi is and shall be under no obligation to maintain any User Content in confidence or to pay compensation for any User Content.

Representations and Warranties:

You represent and warrant that:

• You own all rights to the User Content or have obtained all necessary licenses and permissions to grant the rights outlined in these Terms.
• The User Content is accurate and does not violate any applicable laws or regulations.
• The User Content does not infringe upon the copyrights, trademarks, privacy rights, or other intellectual property rights of any third party.
• The User Content does not contain any computer virus or other malware.
• You will indemnify and hold harmless Coyuchi and its affiliates from any and all claims arising out of your breach of these Terms.

Content Removal:

Coyuchi may, but has no obligation to, monitor, edit, or remove User Content that Coyuchi determines in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party’s intellectual property or these Terms.

If you wish to remove User Content that you have submitted, please contact us at info@coyuchi.com. We will use reasonable efforts to remove the User Content, but we cannot guarantee complete or immediate removal.

Coyuchi is not responsible for the content of any User Content submitted by users.

Updates:

Coyuchi may update these Terms from time to time without prior notice. We encourage you to review these Terms periodically for any changes.
